3. Website Information

We make reasonable efforts to provide useful and accurate information on our website. However, descriptions of services, examples, portfolio items, technology capabilities, timelines, and general information may change over time.

Website content is provided for general informational purposes and does not constitute a binding quotation, promise of a specific result, or commitment to accept a project unless confirmed in writing.

4. Project Scope and Deliverables

Before work begins, the parties should agree on the applicable project scope, deliverables, timeline, fees, dependencies, and acceptance criteria.

A written proposal or project agreement may specify:

  • Project objectives and requirements.
  • Features, functionality, and technical specifications.
  • Deliverables and milestones.
  • Client responsibilities and required materials.
  • Number of revisions included.
  • Delivery and review procedures.
  • Payment terms and applicable taxes.
  • Hosting, domain, licence, and third-party charges.
  • Maintenance and post-delivery support.
  • Ownership and licensing arrangements.

Any material change to the agreed scope may require a revised quotation, additional fees, or an updated timeline.

5. Quotations and Pricing

Unless expressly stated otherwise, quotations are based on the requirements known at the time they are prepared.

A quotation may have a stated validity period. Prices may exclude taxes, domain registration, hosting, paid software licences, third-party subscriptions, payment gateway fees, stock assets, and other external costs unless expressly included.

Additional work, new features, extra revisions, or requirements introduced after approval may be charged separately after the change is discussed with the client.

6. Payments and Taxes

Payment schedules will be specified in the applicable quotation, invoice, or agreement.

Depending on the project, payments may be structured as an advance, milestone payments, recurring fees, or final delivery payments.

The client agrees to pay undisputed amounts by the agreed due dates. Applicable taxes will be charged as required by law and as specified in the invoice.

Any late-payment charges, suspension rights, refunds, or cancellation fees must be expressly stated in the relevant agreement or invoice and must comply with applicable law.

7. Client Responsibilities

The client agrees to:

  • Provide accurate project requirements and timely instructions.
  • Supply content, images, documents, and materials they are authorized to use.
  • Provide necessary approvals and feedback within agreed timeframes.
  • Maintain appropriate backups of their own important data.
  • Obtain required permissions, licences, and consents for supplied materials.
  • Ensure that any customer or third-party data supplied for a project may lawfully be shared.
  • Use delivered products and services lawfully.
  • Protect account credentials and access permissions.
  • Identify any specific compliance, accessibility, security, or regulatory requirements before work begins.

Delays in receiving information, approvals, credentials, or payments may affect project schedules and delivery dates.

8. Development, Testing, and Acceptance

Deliverables will be developed and reviewed against the agreed scope and acceptance criteria.

The client should review deliverables within the review period specified in the project agreement and provide clear, consolidated feedback.

Corrections to defects that fall within the agreed scope will be handled according to the applicable agreement. New features, changes in requirements, and work outside the agreed scope may be treated as additional work.

No deliverable will be considered guaranteed to be error-free across every device, browser, environment, or third-party system unless a specific warranty is expressly agreed in writing.

9. Revisions and Change Requests

The number and nature of included revisions will be determined by the relevant proposal or agreement.

A change request may include additional pages, new features, redesigns, integrations, content changes, or changes to previously approved requirements.

We will communicate the expected effect of material changes on cost and timeline where reasonably practicable. Additional work should not be assumed to be included unless it is confirmed.

10. Intellectual Property

Ownership and licensing of project deliverables will be determined by the relevant written agreement.

Unless otherwise agreed, pre-existing tools, reusable code, libraries, frameworks, methodologies, templates, general know-how, and third-party components remain subject to their respective ownership and licence terms.

Third-party software, open-source components, stock images, fonts, plugins, APIs, and paid services may be subject to separate licences and usage restrictions.

The client is responsible for ensuring that materials supplied by the client do not unlawfully infringe third-party rights.

Any transfer of ownership, source-code delivery, exclusivity, or licence to use custom deliverables should be expressly recorded in the project agreement and may be subject to full payment.

11. Portfolio and Publicity

We will not assume that confidential client information may be publicly disclosed merely because a project has been completed.

Use of a client's name, logo, project screenshots, testimonials, or other identifying materials in our portfolio or marketing should be based on appropriate permission or another lawful basis.

Clients who require confidentiality or restrictions on publicity should communicate those requirements before the engagement begins and include them in the relevant agreement.

12. Third-Party Services and Dependencies

Projects may depend on external hosting providers, domain registrars, cloud platforms, payment gateways, APIs, plugins, software vendors, app stores, or other third-party services.

Those services may change their pricing, terms, functionality, availability, or technical requirements.

Unless expressly agreed otherwise, we do not control those third-party systems and cannot guarantee their continuous availability, compatibility, security, or future operation.

Third-party subscriptions and licences may be payable directly by the client.

13. Hosting, Domains, and Credentials

Responsibility for domain registration, hosting, backups, SSL certificates, email systems, and infrastructure will be specified in the applicable project agreement.

Where a client owns an account or subscription, the client should retain appropriate administrative control and protect access credentials.

Credentials supplied to us should be shared securely and only for the agreed work. The client should revoke or rotate access when it is no longer needed.

14. Maintenance and Support

Maintenance, updates, monitoring, backups, security checks, and ongoing support are included only where specified in the relevant agreement or subscription.

A completed development project does not automatically include unlimited future maintenance, new features, content updates, third-party support, or emergency response services.

Support hours, response times, service levels, exclusions, and recurring charges should be documented separately where relevant.

15. Security and Data Protection

We aim to use reasonable technical and organizational safeguards appropriate to the services we provide.

However, no software, network, website, or online service can be guaranteed to be completely secure. Security responsibilities may be shared among the client, us, hosting providers, software vendors, and other service providers.

Clients must maintain appropriate permissions and lawful notices for personal information collected through systems they operate.

Where a project involves processing personal data on behalf of a client, the parties may need a separate data-processing agreement setting out their respective roles and responsibilities.

Our Privacy Policy explains our general approach to personal information and should be read together with these Terms.

16. Acceptable Use

You must not use our website or services to:

  • Violate applicable laws or regulations.
  • Infringe intellectual-property, privacy, or other legal rights.
  • Distribute malicious software or attempt unauthorized access.
  • Interfere with website security, availability, or normal operation.
  • Submit fraudulent, deceptive, or impersonating information.
  • Transmit unlawful, harmful, or abusive material.
  • Use our systems to conduct unauthorized surveillance or other unlawful activity.
  • Attempt to bypass security controls or access restricted information.

We may take proportionate action to protect our systems and users, subject to applicable law and any contractual obligations.

17. Confidentiality

Where either party receives non-public business, technical, financial, or project information from the other party, the receiving party should use that information only for the agreed purpose and take reasonable steps to protect it.

Confidentiality obligations may be further specified in a non-disclosure agreement or project contract.

Information that is already public through no breach, independently developed, lawfully obtained from another source, or required to be disclosed by law may be treated differently, subject to any applicable agreement.

18. Warranties and Disclaimers

Services will be provided according to the agreed scope and any express written warranties.

Except for commitments expressly made in writing and to the extent permitted by law, the website and general informational content are provided on an “as available” basis.

We do not guarantee that every website, application, integration, or third-party service will remain uninterrupted, compatible with every future update, or free from all errors.

Nothing in these Terms excludes any statutory warranty, consumer right, or other protection that cannot lawfully be excluded.

19. Limitation of Liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses that are not recoverable under the applicable contract or law.

Any agreed liability cap, exclusions, or allocation of risk must be expressly stated in the relevant project agreement and must comply with applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any liability for fraud or other matters where exclusion is prohibited.

For a particular project, the parties should agree on an appropriate liability clause that reflects the scope, value, risks, and legal requirements of that engagement.

20. Suspension and Termination

A project or service may be suspended or terminated in accordance with the applicable agreement.

Where permitted by the agreement and law, suspension or termination may occur because of a material breach, prolonged non-payment, unlawful use, security risks, or another expressly agreed reason.

The relevant agreement should specify notice requirements, cure periods, outstanding payments, treatment of work in progress, access to deliverables, and any applicable refund or cancellation arrangements.

Termination does not remove obligations that have already accrued or provisions that are intended to continue after termination, such as confidentiality, intellectual-property terms, payment obligations, and legally required record retention.

21. Indemnity

Where permitted by applicable law and subject to the relevant agreement, a party may be responsible for claims and losses caused by its own unlawful conduct, material breach, or infringement of third-party rights.

The precise scope of any indemnity should be agreed in writing and should not be interpreted as an unlimited obligation unless a valid agreement expressly provides for it.

22. Force Majeure

Neither party will be responsible for a delay to the extent caused by circumstances beyond its reasonable control, such as natural disasters, major infrastructure failures, widespread network outages, government restrictions, war, civil disturbances, or other comparable events.

The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.

This provision does not automatically excuse payment obligations already due for services properly provided, unless applicable law or the relevant agreement provides otherwise.

23. Dispute Resolution

The parties should first attempt to resolve disputes through good-faith communication and written discussion.

If the dispute cannot be resolved informally, it will be addressed under the applicable law and any valid dispute-resolution provision in the relevant project agreement.

Any jurisdiction, arbitration, or venue clause should be expressly agreed and reviewed for enforceability before it is used in a binding contract.

24. Governing Law

These Terms are intended to be governed by the applicable laws of India, subject to mandatory legal protections and any valid agreement governing a specific engagement.

Nothing in this clause removes a right or legal protection that cannot lawfully be waived.

25. Changes to These Terms

We may update these Terms to reflect changes to our website, services, business practices, or applicable law.

The latest version will be published on this page with an updated date. Material changes to an existing client engagement will be handled in accordance with the applicable agreement and law.

26. Severability

If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

27. Entire Agreement and Priority

These Terms govern general website use. A signed contract, statement of work, proposal, service-level agreement, data-processing agreement, or other specific written agreement may establish additional or different terms for a particular engagement.

In the event of inconsistency, the relevant specific agreement will take priority to the extent it expressly addresses the matter and is legally enforceable.
